Vendor Disclosure and Terms of Service Overview
Welcome to Fusion Serve, the B2B platform designed for commercial kitchens, foodservice vendors, and multi-vendor marketplaces. Below are the essential terms, obligations, and disclosures for all vendors using our system:
Vendor Accounts & Menu Management
Each vendor will have a dedicated menu category to manage and customize their menu items. Vendors are responsible for maintaining and updating their menus, either one by one or through bulk import.
Order Management & Fulfillment
Fusion Serve receives orders on behalf of vendors and routes these to the correct kitchen screens, displays, or printers as configured. Vendors receive real-time order information and are responsible for timely fulfillment and service.
Payment Processing & Fees
All customer payments are processed by Fusion Serve. From every sale, a 3% payment processing fee is deducted to cover actual card processing costs. A platform commission of 20% is also deducted from gross sales before vendor payouts. The remaining balance is paid to vendors on a regular schedule.
Sales Tax Handling
As a marketplace facilitator, Fusion Serve is responsible for collecting, setting aside, and remitting all required sales taxes to the relevant authorities. Vendors do not handle sales tax filings for transactions processed through the platform.
Payouts & Income Tax
Vendors receive net payouts—calculated as gross sales minus sales tax, commission, and processing fees. Vendors are only responsible for income tax on these net payouts, not on gross receipts or amounts withheld for tax or fees. The platform pays income tax only on commissions and any markups; sales tax collected is not treated as income by the platform or vendor.
Reporting & Bookkeeping
Vendor dashboards provide clear, itemized reports showing sales, fees, deductions, and net payouts. Sales tax collection and filing are handled automatically via integrated technology. Vendors can export reports and connect to bookkeeping solutions like QuickBooks if desired.
Transparency & Compliance
All fees, deductions, and payout processes are clearly disclosed during onboarding and within vendor agreements. Updates to fees or core terms will be communicated in advance, providing an opportunity for vendors to review or withdraw if desired.
Legal Notes & Acceptance
Vendor participation is contingent upon acceptance of all platform terms, including the pass-through fees, commissions, and sales tax provisions described here. Participation and onboarding materials must be reviewed and accepted by all vendors. All parties are required to follow applicable state and federal laws and report their own income accurately.

Employee/User Participation Overview and Terms
Welcome to Fusion Serve, the platform for commercial kitchens and multi-vendor foodservice. The following outlines your rights, responsibilities, and important disclosures as an employee or authorized user operating within the Fusion Serve system:
Account Access & User Roles
You will be provided with a unique login to access the Fusion Serve app and relevant features based on your assigned role (e.g., staff, manager, kitchen crew). You are responsible for safeguarding your credentials and may not share your login with others.
Use of Platform & Data
All actions you perform—such as accepting orders, updating fulfillment status, or managing menu items—are tracked for quality, reporting, and compliance. Usage data helps maintain service consistency, accuracy, and accountability.
Order Handling & Fulfillment
Your primary responsibility is to use the app to review, prepare, and fulfill customer orders based on assignments or kitchen roles. Timely updates on order status (e.g., in progress, ready, completed) within the system are required to ensure smooth operations and accurate reporting.
Access to Sales & Reporting
Employees may view sales reports, fulfillment stats, and other information as authorized by management. Sensitive financial, customer, or business data must be treated confidentially and used only as needed for operational duties.
Platform Fees & Payout Information
Employees do not pay platform fees or commissions, but may be notified of deductions or compensation adjustments (e.g., tips distribution, incentive programs) as managed by the vendor or employer. All compensation details are managed outside the app by your employer/vendor.
Compliance & Conduct
All users must comply with company policies, applicable laws, and the standards set by Fusion Serve. Prohibited actions include unauthorized changes to menus, misuse of order routing, tampering with reporting data, or unauthorized access to restricted information.
Privacy & Security
Your personal information, user activity, and performance data are collected for legitimate business purposes—to support operations, ensure compliance, and improve service. Fusion Serve protects this information as required by law and internal policy.
Changes & Notifications
Any updates to user permissions, system features, or conduct standards will be communicated through management or within the app. Continued use of the system constitutes acceptance of updated terms.
Acceptance & Acknowledgement
By using Fusion Serve, you agree to follow all platform procedures, security requirements, and applicable rules as outlined in onboarding and internal training. Questions may be directed to your supervisor or Fusion Serve support at any time.

5. Technology & Operations

6. Key Contacts & Staff
• List of authorized contacts and users who may access the vendor dashboard or app.

7. Signed Agreements & Policy Acknowledgement
• Review and acceptance of the Fusion Serve Vendor Agreement and Terms of Service.

How Fusion Serve Works
• Fusion Serve partners with local restaurants and caterers to deliver high-quality, fresh meals directly to your workplace each day.
• We offer convenient pre-ordering and grab-and-go options.
• All orders must be placed in advance: We do not process same-day or on-demand orders.
• Customers may plan and pre-order meals by the day or for the entire week through our app or website.
Pre-Order Only Model
• Meal selections and customizations must be submitted before each ordering cutoff, which will be clearly communicated within the app.
• Orders may be modified or canceled any time before the cutoff.
• After the cutoff, orders are processed and cannot be changed or refunded except in the event of service disruptions or other extraordinary circumstances.
Meal Delivery and Pickup
• Your meal will be delivered to your designated workplace location on the day(s) you selected during pre-order.
• If you opt for grab-and-go, meals will be available for pick-up at the assigned location and time, as listed in your confirmation.
• Please ensure you collect your meal within the stated pickup window; unclaimed meals may not be held or refunded.
Payment, Pricing, and Fees
• Pricing is displayed transparently during the ordering process.
• Payment for all orders is processed at the time of pre-order.

Refunds and Service Issues
